Terms and Conditions – Air Conditioning & Refrigeration Services

These are the terms and conditions on which Temperature Solutions Ltd supplies products and services, including

air conditioning and/or refrigeration equipment, installation, maintenance, and repair.

By placing an order or accepting a quotation, you confirm your acceptance of these terms. No order is binding until confirmed by us in writing.

The latest version of these terms is always available upon request.

1. About Us

2. Variations

Any changes or additional work must be agreed in writing.

We may make minor adjustments to comply with legislation or improve performance without materially affecting your system.

3. Cancellation

Consumers have statutory cancellation rights; business clients may only cancel at our discretion and may be charged fees.

Custom-configured systems (e.g., split systems, cold rooms, ductwork design) cannot be cancelled once ordered.

Bespoke installations based on specific measurements are non-refundable.

Deposits are non-refundable except where consumer law applies.

BACS payments are free; card payments may incur fees.

4. Consumer Statutory Cancellation Rights

(Consumers only, not businesses) – under the Consumer Rights Act 2015 and Consumer Contracts Regulations

2013:

• Faulty or misdescribed goods are returnable.

• 14-day cooling-off period applies (eligible goods/services only).

• Refunds may be subject to delivery or depreciation deductions.

• Refunds issued within statutory timeframes.

5. Installation Services

All works comply with F-Gas, Building Regulations, BS7671, and other applicable legislation.

Assumes existing power supply and structure are suitable; upgrades are chargeable.

Pipework, ducting, pumps, and electrics will be concealed where possible.

Surface-mounting used where concealment impractical.

Flooring and carpets may be lifted but professional refitting is not included.

You must provide free access to water and electricity.

Subcontractors (including certified F-Gas engineers) may be used.

6. Services Not Included Unless Agreed

• Furniture/appliance moving.

• Major structural modifications (>50mm holes, supports).

• Re-decoration or plastering.

• Packaging or old unit removal (unless agreed).

• Any item not detailed in your quotation.

7. Delivery & Access

Products delivered on installation start date.

Missed supply-only deliveries may incur re-delivery or storage fees.

If access is denied or delayed, extra costs may apply or contract may be terminated.

8. Risk & Title

Risk transfers on delivery.

Ownership passes upon full payment.

You must insure delivered/installed equipment.

We are not liable for equipment failures unless proven to be due to our workmanship.

9. Quotations and Pricing

Quotations are based on information provided by you. We reserve the right to adjust the quotation if incorrect information is supplied when the initial quotation is given.

The price of the equipment and/or service provided is agreed between us and you at the time you agree to the work being carried out.

Travel time and mileage shall be calculated from the Company’s head office at 58 The Causeway, Peterborough, PE6 0QH, UK, and are included in the prices quoted. Additional travel-related expenses, if applicable, will be charged at the Company’s discretion and communicated in advance.

Delivery charges confirmed before order.

Prices assume weekday access (Mon–Fri, 08:00–16:00).

Extra charges for delays, access issues, or out-of-hours work.

Quotes valid for 30 days unless stated otherwise.

The price in all quotations is exclusive of VAT which will be added to the invoice and due at the rate applicable on the date of our invoice.

10. Payment Terms

Deposits required before work/equipment order.

Balances due on delivery or completion unless agreed.

Multi-week projects: weekly payments due each Friday.

Invoices payable within 30 days; late payments incur 15% admin fee + 8% interest above Bank of England base rate.

Certification/warranty issued only after full payment.

No retention accepted.

In the event that payment is not made by the due date and the Company is required to pursue recovery of overdue amounts, the Client shall be liable for all associated costs, including but not limited to legal fees, collection charges, and administrative expenses.

11. Health and Safety

Whilst working on the Client’s site, all Company personnel will comply with the Client’s Health & Safety policies and site rules, provided these are communicated in advance.

Whilst working on the Company’s premises, all personnel will comply with the Company’s own Health & Safety policies and procedures.

The Company accepts no responsibility for accidents, losses, or damages arising from breaches of Health & Safety rules or regulations by the Client, the Client’s employees, contractors, or third parties.

12. Force Majeure

Delivery/installation dates are estimates only.

Not liable for delays outside our control (e.g., weather, supply chain).

Either party may terminate after 8 weeks’ delay (14 days’ notice).

13. Limitation of Liability

We do not limit liability for death, personal injury, or fraud.

Other liability is capped at the contract value.

Not liable for loss of business, profits, or indirect damages.

Temperature Solutions shall not be held liable for any loss of product, loss of production, or any consequential damages arising therefrom.

14. Equipment and Warranty

The Warranty relates to equipment and services provided by Temperature Solutions (UK) Ltd only.

Faults must be reported within 7 days of receipt.

Manufacturer warranties apply; we assist with claims.

Installations: 12-month workmanship warranty + manufacturer parts warranty.

Excludes damage from misuse, power surges, or third-party interference.

Non-installation issues may incur call-out charges.

15. Client Responsibilities

You must:

• Ensure clear access for equipment and personnel.

• Confirm power and structural suitability.

• Obtain required consents (planning, landlord, etc.).

• Inform us of hazards (e.g., asbestos, working at height).

16. Intellectual Property

All designs, layouts, and schematics remain our property.

Reproduction/distribution requires written consent.

17. Entire Agreement

This agreement (quotation + these terms) is the entire contract. No verbal statements override unless confirmed in writing.

18. Assignment & Subcontracting

The Company may assign, transfer, or subcontract any part of this agreement without the Client’s consent.

The Client may not assign, transfer, or subcontract their rights or obligations under this agreement without the Company’s prior written consent.

19. Severability

If any provision of this agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Governing Law
This agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such disputes or claims.

21. Data Protection

We process your data in accordance with UK GDPR and the Data Protection Act 2018.

Your information, including details provided through our website, is used solely for communication, warranty registration, and service purposes.

We will not pass your contact details to any third parties without your consent, unless legally required to do so.

You may opt out of any marketing communication at any time by notifying us in writing.

Where remote access is provided to refrigeration monitoring or HVAC control systems, this access is secure and may be revoked by you at any time.

22. Dispute Resolution

Both parties must attempt mediation before legal action.

23. Marketing Consent

You consent to the Company taking and using photographs or videos of your installation for promotional purposes, including but not limited to the Company’s website, brochures, and social media platforms.

If you do not wish your installation to be used in this way, you must notify the Company in writing before or during the works.
